Composition:

Eight (8) members   -                 Pro-Chancellor of the Governing Body  (Chair)
Vice Chairs of the Governing Body (2)
Chair of the Audit Committee
Chair of the Equality and Diversity Committee
Chair of the Finance and General Purposes Committee
Chair of the Health and Safety Committee
Chair of the Remuneration Committee
Chair of the Academic Board
Up to two co-options if vacancies exist because individual members fulfill multiple roles

Note:    that whenever there is a change to the Chairship of any of the above committees, the current membership arrangements of the Chairs'  Committee should be reviewed to ensure broad representation of the whole of the Governing Body.

Four (4) members

Reports to the Governing Body

Secretary:

Clerk to the Governing Body

In attendance by invitation:                   

At the discretion of the Chair

Frequency of meetings:

Normally three (3) times per annum

Terms of Reference

To advise the Governing Body with regard to:

·               Governance policy and practice;

·               Register of Interests;

·               Nominations and appointment of Governors;

·               Monitoring of CUC Guidelines;

·               Terms of Reference/Standing Orders etc./Scheme of Delegation for Governing Body and Governors’ Committees;

·               Governing Body Performance Review;

·               Those other matters deemed appropriate by the Chair of the Governing Body in consultation with the Vice-Chancellor or identified by the Governing Body.
